Terms of Service

These Terms govern access to and use of EMRGENIUS platform services by healthcare organizations, clinicians, staff members, and other authorized users operating under a customer subscription or written services agreement.

These Terms supplement any order form, master services agreement, data processing addendum, or business associate agreement executed between your organization and EMRGENIUS. If those documents conflict with this page, the signed commercial agreement controls.

Acceptance of Terms

By accessing or using EMRGENIUS, you agree to these Terms on behalf of yourself and, where applicable, the organization that granted you access. If you do not have authority to bind that organization, you may not use the service in an administrative or business capacity.

Description of Service

EMRGENIUS provides cloud-based electronic medical record, scheduling, billing, workflow automation, interoperability, and documentation tools for professional healthcare operations. Platform features may evolve over time and may vary by subscription plan, region, or regulatory context.

Account Registration

Customers must provide accurate registration, billing, and organization information and keep it current. Each user is responsible for protecting credentials, using only authorized accounts, and promptly reporting suspected compromise or unauthorized access.

Subscription and Billing

Paid subscriptions renew according to the billing cadence in the applicable order form unless cancelled in accordance with contract terms. Fees are due without setoff unless otherwise required by law. Failure to pay may result in service suspension after notice and a reasonable cure opportunity.

Data Ownership

The tenant owns its data. As between EMRGENIUS and the customer, customer records, templates, patient data, operational history, and user-generated content remain the customer's property.

EMRGENIUS receives only the limited rights necessary to host, secure, transmit, back up, and support that data in order to deliver the service and meet legal or contractual obligations.

Acceptable Use

You may not use EMRGENIUS to violate law, interfere with the service, bypass security controls, upload malicious code, reverse engineer protected components, submit infringing content, or process data without appropriate authority, notice, or consent.

HIPAA Business Associate

For eligible United States tenants, EMRGENIUS will provide a business associate agreement for use of the platform with protected health information. Customers remain responsible for determining whether HIPAA applies to their activities and for using the service in a compliant manner, including workforce management and disclosure practices.

Intellectual Property

EMRGENIUS and its licensors retain all rights in the software, service design, trademarks, documentation, usage analytics derived in aggregate, and other platform intellectual property. No ownership transfer occurs except as expressly stated in a written agreement.

Limitation of Liability

To the maximum extent permitted by law, EMRGENIUS is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data arising from use of the service. Aggregate liability under these Terms is limited to the fees paid for the affected subscription during the twelve months preceding the event giving rise to the claim.

Termination

Either party may terminate in accordance with the governing agreement. EMRGENIUS may suspend or terminate access for material breach, nonpayment, security risk, or unlawful use if the issue is not cured within an applicable notice period or if immediate action is reasonably necessary to protect the platform or other customers.

Data Portability

EMRGENIUS is designed for data portability, not lock-in. Customers can export applicable clinical data in FHIR-aligned formats where supported, along with operational data such as schedules, billing records, documents, and audit history using platform export tools or migration workflows.

We do not impose punitive exit barriers or hostage-fee practices for reasonable data retrieval. Any specialized migration services beyond standard export functionality may be governed by a separate scope of work.

Governing Law

These Terms are governed by the law specified in the applicable signed customer agreement. If no governing-law provision exists there, the laws of the State of Delaware, excluding conflict-of-law rules, will apply.

Changes to Terms

We may update these Terms from time to time. Material changes will be posted on this page and may also be communicated through the platform or by email. Continued use after the effective date of revised Terms constitutes acceptance of those changes.
